Terms of Service

These Terms of Service (the "Terms") govern your access to and use of ReelMio, including our websites, applications, application programming interfaces, software, AI creation tools, models, templates, media libraries, and related services (collectively, the "Services").
Please read these Terms carefully. By creating an account, purchasing a plan or credits, accessing the Services, or otherwise using the Services, you agree to these Terms and our Privacy Policy, and any plan-specific or feature-specific terms presented to you. If you do not agree, do not use the Services.
If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization. In that case, "you" includes both you and that organization.
1. Eligibility
You must be at least 18 years old, or the age of legal majority where you live, and legally capable of entering into a binding contract. The Services are not directed to children.
You may not use the Services if you are prohibited from receiving them under applicable law, including applicable trade sanctions and export-control laws. You must comply with all laws and regulations that apply to your access to and use of the Services.
2. The Services
The Services allow users to create, edit, transform, and manage short-form videos and related creative materials using artificial intelligence and other tools. Features may include script generation, storyboarding, image generation, video generation, animation, editing, voice generation, dubbing, music or sound generation, digital characters, avatars, face or voice features, templates, collaboration tools, and publishing or export tools.
We may add, change, limit, suspend, or discontinue any feature or part of the Services. We do not guarantee that any particular model, feature, format, integration, output quality, storage period, or level of availability will always be offered. Where required by law, we will provide reasonable notice of a material change that adversely affects a paid subscription.
3. Accounts and Security
You may need an account to use some or all of the Services. You agree to provide accurate, current, and complete information and to keep it updated. You may not impersonate another person, create an account using information you are not authorized to use, sell or transfer your account, or allow others to use your account in violation of these Terms.
You are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account. We may require identity, authority, or consent verification where reasonably necessary to protect users, rights holders, or the Services.
4. Plans, Credits, and Usage Limits
The Services may include paid subscriptions or prepaid credits. The features, usage allowances, model access, output specifications, commercial-use permissions, storage, and other benefits of each plan are described on the applicable pricing or checkout page and form part of these Terms.
Credits and usage allowances:
- may be consumed when a generation or other processing request begins;
- have no monetary value, are not legal tender, and cannot be transferred, resold, or redeemed for cash unless we expressly permit it; and
- may be adjusted where necessary to correct an error, reverse fraud, address abuse, or comply with law.
We may impose reasonable technical, rate, storage, and usage limits. Attempting to avoid those limits, including by using multiple accounts or automated means, is prohibited.
5. User Content
"User Content" means prompts, scripts, text, instructions, images, photographs, video, audio, voices, likenesses, logos, trademarks, datasets, files, and other materials that you submit, upload, import, record, transmit, or make available through the Services ("Input"), together with content generated or returned by the Services in response to your Input ("Output").
As between you and us, you retain all rights you have in your Input. You are solely responsible for your Input and for selecting, reviewing, editing, using, publishing, and distributing your Output.
You grant us and our affiliates and service providers a worldwide, non-exclusive, royalty-free license to host, copy, transmit, modify, display, and otherwise process User Content only as reasonably necessary to:
- provide, maintain, secure, support, and improve the operation and reliability of the Services;
- fulfill your requests and enable features you choose to use;
- detect, investigate, and prevent fraud, security incidents, illegal activity, and violations of these Terms;
- comply with applicable law and enforce our rights; and
- use content you intentionally make public through the Services in the manner enabled by the relevant feature.
This license lasts only for as long as reasonably necessary for those purposes, subject to backup retention, legal obligations, and the Privacy Policy. We will not use private User Content to train generalized generative AI models unless you affirmatively opt in or we separately disclose and obtain any consent required by law. This restriction does not prevent us from using de-identified or aggregated operational data that does not identify you or reproduce your User Content to analyze and improve the safety, performance, and reliability of the Services.
6. Output Rights and AI-Specific Limitations
To the extent permitted by applicable law and subject to your payment of amounts due and compliance with these Terms, as between you and us, you may use your Output for lawful personal or commercial purposes. We assign to you any rights we may have in your Output, if any. This assignment does not include:
- our Services, models, software, templates, interfaces, documentation, brands, or other Company materials;
- third-party materials, stock assets, fonts, music, models, or other components governed by separate license terms;
- Input or other materials owned by another person; or
- Output generated for another user.
Because machine-learning systems generate content probabilistically:
- Output may be inaccurate, incomplete, unsuitable, or different from what you expected;
- similar or identical Output may be generated for other users, and your Output may not be unique;
- Output may not qualify for copyright, trademark, patent, or other legal protection in every jurisdiction;
- we do not represent that Output is non-infringing or cleared for advertising, broadcast, distribution, or any other use; and
- you must independently review Output and obtain any rights, permissions, releases, licenses, and professional advice needed for your intended use.
You must not state or imply that Output was created by a human where doing so would be deceptive or unlawful. You are responsible for adding disclosures, labels, watermarks, provenance information, or other notices required by law, an applicable platform, or industry rules. You may not remove or alter safety labels, provenance metadata, or watermarks where removal is prohibited by law or feature-specific terms.
7. Your Representations and Responsibilities
You represent and warrant that:
- you own your Input or have all rights, licenses, permissions, and consents necessary to submit it and authorize our processing of it;
- your User Content and use of the Services will not infringe or violate any copyright, trademark, trade secret, privacy, publicity, contractual, moral, biometric, data-protection, or other right;
- you have obtained valid, documented consent from each identifiable person whose face, body, voice, name, likeness, personal data, or performance you upload, clone, simulate, animate, or otherwise use, unless another valid legal basis clearly applies;
- you will comply with applicable advertising, endorsement, consumer-protection, election, biometric, synthetic-media, and AI transparency laws;
- you will review Output before relying on, publishing, or distributing it; and
- you will not use Output as the sole basis for decisions that produce legal or similarly significant effects on a person, including decisions about employment, housing, credit, insurance, education, healthcare, or legal services.
If requested, you must provide reasonable evidence of your rights or consent. We may restrict a feature, remove content, or suspend an account if sufficient evidence is not provided.
8. Prohibited Content and Conduct
You may not use the Services to create, upload, transform, request, facilitate, advertise, publish, or distribute content or activity that:
- Exploits or endangers children. This includes child sexual abuse material, sexualized depictions of minors, grooming, trafficking, or content that facilitates abuse or exploitation of a minor.
- Creates non-consensual intimate or sexual content. This includes sexual deepfakes, nudification, or intimate imagery involving a real or recognizable person without valid consent.
- Facilitates fraud or harmful impersonation. This includes phishing, identity theft, financial scams, deceptive impersonation, fabricated endorsements, or pretending to be a private person, public figure, official, or organization in a manner likely to cause harm or deceive.
- Violates intellectual-property, privacy, publicity, biometric, confidentiality, or other legal rights.
- Promotes or facilitates illegal or regulated activity. This includes trafficking, illegal drugs, unlawful weapons transactions, unauthorized gambling, or evasion of legal restrictions.
- Promotes violence, terrorism, hate, harassment, or abuse. This includes credible threats, extremist recruitment, targeted harassment, stalking, or hateful content directed at protected classes.
- Promotes self-harm or dangerous conduct. This includes instructions that meaningfully facilitate suicide, self-injury, or activities likely to cause serious physical harm.
- Creates deceptive political or civic content. This includes false voting instructions, deceptive impersonation of candidates or officials, or synthetic media intended to unlawfully interfere with an election or civic process.
- Contains malware or enables unauthorized access. This includes malicious code, credential theft, security bypass, denial-of-service activity, or instructions intended to compromise systems.
- Is defamatory, obscene, or otherwise unlawful, or violates any content policy made available with the Services.
You also may not:
- reverse engineer, decompile, disassemble, discover, or attempt to derive source code, model weights, underlying components, or non-public data, except where a restriction is prohibited by law;
- scrape, crawl, data-mine, benchmark at scale, or use automated means to access the Services except through an authorized API and in accordance with its terms;
- use the Services or Output to train, fine-tune, develop, test, or improve a competing AI model or service without our written permission;
- bypass safety systems, access controls, usage limits, payment mechanisms, or content filters;
- introduce malware, overload or disrupt the Services, or interfere with another user's access;
- use another person's account or credentials without authorization;
- resell, sublicense, rent, or provide access to the Services except under a plan or written agreement that expressly permits it;
- misrepresent the origin, authenticity, sponsorship, or endorsement of User Content; or
- use the Services in a way that creates a material risk of harm to people, property, the public, or the Services.
Examples are illustrative and not exhaustive. We may publish additional safety standards or feature-specific restrictions consistent with these Terms.
9. Company Intellectual Property
The Services and all related technology and materials, including software, models, model weights, algorithms, interfaces, designs, templates, documentation, text, graphics, and branding, are owned by us or our licensors and are protected by intellectual-property and other laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services during the applicable subscription or access period. No other right or license is granted, whether by implication, estoppel, or otherwise.
If you provide ideas, suggestions, or feedback about the Services, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use and commercialize that feedback without restriction or compensation, provided we do not publicly identify you as its source without permission.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE AND OUR AFFILIATES AND LICENSORS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUALITY, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS; THAT OUTPUT WILL BE ACCURATE, UNIQUE, LAWFUL, OR SUITABLE FOR YOUR PURPOSE; OR THAT ANY CONTENT WILL BE PRESERVED. OUTPUT IS NOT PROFESSIONAL, LEGAL, MEDICAL, FINANCIAL, OR OTHER EXPERT ADVICE.
Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, OR USER CONTENT, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD 100.
These limitations apply regardless of the form of action and even if a remedy fails of its essential purpose. They do not limit liability that cannot legally be limited, which may include liability for fraud, willful misconduct, gross negligence, or death or personal injury caused by negligence, depending on applicable law. Mandatory consumer rights remain unaffected.
12. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless the Company, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from claims, liabilities, damages, judgments, losses, and reasonable legal fees arising out of or related to:
- your User Content or use of Output;
- your use or misuse of the Services;
- your breach of these Terms or applicable law;
- your infringement or violation of another person's rights; or
- your failure to obtain required consent for a person's face, likeness, voice, personal data, or performance.
We may control the defense and settlement of an indemnified claim. You will reasonably cooperate and may not settle a claim in a manner that admits our fault or imposes obligations on us without our written consent. This section does not apply to the extent prohibited by consumer law.
13. Governing Law and Disputes
This TOS shall be governed by and construed in accordance with the internal laws of the Hong Kong Special Administrative Region (HKSAR), without giving effect to its conflict-of-laws provisions, regardless of your location.
Any dispute arising out of or in connection with this TOS, including any question regarding the existence, validity, or termination of this TOS, shall be referred to and finally resolved by the courts of the HKSAR.
14. Changes to These Terms
We may update these Terms to reflect changes to the Services, law, safety requirements, or our business. We will post the updated Terms and revise the Effective Date. If a change materially reduces your rights or increases your obligations, we will provide additional notice as required by law, such as through the Services or by email.
Changes apply prospectively from their stated effective date. Your continued use of the Services after that date constitutes acceptance of the updated Terms, to the extent permitted by law. If you do not agree, you must stop using the Services and cancel any subscription before the change takes effect.
